The following Policies apply to any party (each a “Publisher” or “Supply Partner”) engaging with Contxtful Technologies Inc. DBA RECEPTIV, or any of its affiliated group companies (“RECEPTIV”), in the provision of digital online advertising services (the “Services” or “Platform”) relating to the monetization of Publisher’s and/or its clients’ advertising inventory (“Publisher Inventory”), which Publisher’s Inventory is accessible through the RECEPTIV Services (the “Publisher Properties”). RECEPTIV reserves the right to modify or amend this Publisher Policy at any time by posting modifications or amendments (including in the form of a restatement if appropriate). It is Publisher’s responsibility to keep up to date with the policies posted here.
Publishers are required to comply with the following standards:
Publisher approval is subject to RECEPTIV approval. Properties may not display or include any of the following types of prohibited content:
RECEPTIV will conduct an onboarding review of each Publisher Properties. RECEPTIV reserves the right to refuse participation to any Publisher and/or Publisher Properties at any time in its sole discretion.
The artificial generation of views or engagements, directly or indirectly, is strictly prohibited. Prohibited means and methods include and are not limited, to the following:
RECEPTIV will, in its sole discretion, determine whether any device or technology operates in a manner that generates the kind of User Engagement sought by its advertising clients, and may disqualify any User
Engagement generated by means or methods that it determines in its sole discretion to be invalid or prohibited. Where valid or organically-generated User Engagements are co-mingled with views or engagements resulting from prohibited methods, whether or not intentionally, RECEPTIV may, in its sole discretion, determine that all such User Engagements and other views and engagements (i.e., both valid and invalid) will be disqualified.
Publishers may load new ads only when (a) the end user navigates to a new page or screen; (b) the current page is substantially updated with new content and at least 1 minute has passed since the last refresh; or (c) the ad unit has remained in view for at least 30 seconds, as measured by an MRC-accredited verification company. In no event may a Publisher refresh an ad unit more than 20 times per end user session (e.g. slideshows).
Failure to adhere or comply with these policies may result in disqualification or termination of Publisher or any Publisher Properties and/or the withholding or cancellation of any amounts that otherwise might have been payable to Publisher. RECEPTIV reserves the right to suspend, disable or terminate any account at any time.
Publisher agrees that for any California Consumer Protection Act (“CCPA”) covered transaction, it will either (a) serve signals in accordance with IAB’s CCPA framework or (b) not serve any bid requests to RECEPTIV for any user that has not consented to or has opted out of the sale of their data under CCPA.
On every Publisher Site where advertising is displayed, Publisher will include a conspicuous link to, and the Publisher will comply with, a privacy policy that meets all applicable laws, rules and regulations.
As between RECEPTIV and the Publisher, RECEPTIV owns all right, title, and interest, including without limitation, all Intellectual Property rights in and to the RECEPTIV platform. Notwithstanding the Publisher’s statutory rights, no right to modify, adapt, distribute or translate the RECEPTIV Platform, create derivative works from the RECEPTIV Platform, obtain source code for the software comprised within the RECEPTIV Platform or any right to decompile, disassemble or reverse engineer the software comprised within the RECEPTIV Platform, is granted to the Publisher. Use of the RECEPTIV Platform for any purpose not set forth in the Agreement is prohibited.
Publisher owns all right, title, and interest, in and to all Publisher Data. Publisher agrees that RECEPTIV may use Publisher Data for optimizing resources and support, analyze usage, measurements and logs for optimizing its products and services, resources and support; research and development; develop processes that enable continuous improvement, performance optimization and internal demand and resource planning.
Publisher agrees to indemnify, defend and hold RECEPTIV harmless from and against any and all costs, damages, expenses and/or other losses, including reasonable attorney’s fees, suffered or incurred by RECEPTIV from any third party claim, suit, demand, action or proceeding to the extent arising out of or relating to (i) a breach of these advertising guidelines, (ii) the video, music, audio, images, graphics, games, statistics, advertising, text, and any other content appearing on, or technology used by Publisher connection with the Publisher Sites, or (iii) any contaminated files or viruses originating from the Publisher’s sites. The foregoing indemnity shall not apply to any advertising provided by RECEPTIV.
